Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the appyjax.com website and the ProdAttend service (collectively, the "Service") provided by AppyJax ("AppyJax," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

Where AppyJax and a customer have signed a separate written agreement (such as a services or deployment agreement), that agreement controls to the extent it conflicts with these Terms.

1. The Service

ProdAttend is an attendance management service for manufacturing companies. Employees report absences or tardiness by phone, text message, or application; the Service authenticates them, logs the event, notifies designated supervisors with urgency based on work center criticality, and suggests trained replacement employees. A web dashboard is provided for supervisors, managers, HR staff, and administrators.

The Service is provided to employer customers ("Customers"). Employees and other end users access the Service only as authorized by their employer.

As between the parties, the Customer owns the data it and its employees submit to the Service ("Customer Data"). The Customer grants AppyJax a license to host, process, and transmit Customer Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy. The Customer is responsible for having the necessary rights and consents to provide Customer Data to the Service, including employee consent for SMS and phone-based attendance reporting where required.

5. Intellectual Property

AppyJax owns all right, title, and interest in and to the Service, including its software, design, and documentation, and all related intellectual property rights. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide about the Service may be used by AppyJax without restriction or obligation.

6. Fees

ProdAttend is offered as a custom deployment for manufacturing companies. Fees, payment terms, implementation scope, and service levels are set out in the applicable written agreement or order between AppyJax and the Customer. Access to the public appyjax.com website is free of charge.

7. Third-Party Services

The Service relies on third-party providers, including Google Cloud/Firebase (hosting, database, authentication), Twilio (voice and SMS), and SendGrid (email). Telephone and SMS delivery depend on carriers and networks outside our control; carriers are not liable for delayed or undelivered messages, and message and data rates may apply to SMS.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPYJAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. APPYJAX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL NOTIFICATIONS WILL BE DELIVERED. THE SERVICE IS A NOTIFICATION AND RECORD-KEEPING AID; IT DOES NOT REPLACE THE CUSTOMER'S OWN ATTENDANCE, STAFFING, SAFETY, OR EMPLOYMENT PROCESSES, AND CUSTOMERS REMAIN RESPONSIBLE FOR THEIR OWN OPERATIONAL AND EMPLOYMENT DECISIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPYJAX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION (INCLUDING PRODUCTION DOWNTIME), ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPYJAX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO APPYJAX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF NO SUCH AMOUNTS WERE PAID. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

The Customer will defend and indemnify AppyJax against third-party claims arising from the Customer's misuse of the Service, violation of these Terms, or failure to obtain required consents for Customer Data.

11. Termination

Either party may terminate as set out in the applicable written agreement. We may suspend or terminate access to the Service for material breach of these Terms that remains uncured after reasonable notice, or immediately where necessary to protect the Service or comply with law. Upon termination, the Customer's right to access the Service ends; Sections 4 through 13 survive termination. Customer Data is handled after termination as described in the Privacy Policy and the applicable agreement.

12. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance. Material changes affecting a Customer under a signed agreement will be handled per that agreement.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute not subject to a different resolution process in a signed agreement.
